1. Introduction

These Terms of Use ("Terms") govern your access to and use of TeamLyf, a comprehensive SaaS platform for team collaboration ("Service") provided by TeamLyf, Inc. ("Company," "we," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service includes 9 integrated modules: Projects, Tasks, Chats, Milestones, Schedules, HRM, Notes, Drive, and Dashboard, enabling real-time collaboration, file sharing, video calls, and HR management.

2. User Responsibilities

  • Account Creation and Security: You must provide accurate information during registration, including email, password, and optional OAuth details from Google. You are responsible for maintaining the confidentiality of your credentials and all activities under your account. Multi-factor authentication is recommended.
  • Acceptable Use: You agree not to use the Service for illegal activities, harassment, unauthorized data collection, or exceeding allocated limits (e.g., storage quotas, video minutes). Prohibited actions include reverse engineering, circumventing security measures, or sharing access with unauthorized users.
  • Data Accuracy: When uploading personal or HR data (e.g., employee records, emergency contacts), you must ensure compliance with applicable laws and obtain necessary consents. You are liable for any inaccurate or unlawful data submitted.
  • Role-Based Access: Users are assigned roles (Owner, Admin, Member, Viewer) with specific permissions. You must not exceed your role's access rights.

3. Intellectual Property Rights

  • Company Ownership: All software, trademarks, and content related to the Service are owned by the Company. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purposes.
  • User Content: You retain ownership of content you upload (e.g., messages, files, HR records). By uploading, you grant the Company a license to process, store, and transmit this content as necessary for Service operation. You represent that you have rights to upload such content.
  • Feedback: Any suggestions or feedback become Company property without compensation.

4. Service Functionality and Limitations

  • Features: The Service supports real-time chat via WebSockets, file uploads to Cloudflare R2 or AWS S3, video calls via LiveKit, and HR data management. Billing is handled via Polar.sh and Paystack.
  • Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. Maintenance may occur with prior notice.
  • Limits: Usage is subject to plan limits (e.g., members, storage). Exceeding limits may result in suspension.

5. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages, including data loss, business interruption, or third-party claims. Our total liability is limited to the amount paid by you in the 12 months preceding the claim.

You acknowledge that the Service involves third-party integrations (e.g., LiveKit, S3), and we are not liable for their performance.

6. Termination

We may terminate your access for breach of these Terms, with or without notice. Upon termination, your data may be deleted per our retention policies. You may terminate by ceasing use and deleting your account.

7. Dispute Resolution

Disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The governing law is that of the State of Delaware, USA.

8. Changes to Terms

We may update these Terms with 30 days' notice via email or the Service. Continued use constitutes acceptance.
